THIS DEED OF GIFT AND BOUNDARY ADJUSTMENT LINE ADJUSTMENT CER- TIFICATE is made and entered into this V day of Mak) ,2018,by and between PIEDMONT NEIGHBORHOODS LP, a Virginia limited partnership, to be indexed as Grantor and Grantee, with an address of 11710 Plaza America Drive, Suite 1100, Reston, Virginia 20190 ("Piedmont Neighborhoods"), and AVON PROPERTIES, LLC, a Virginia limited liability com- pany, to be indexed as Grantor and Grantee, with an address of P.O. Box 1647, Charlottesville, Vir- ginia 22902 ("Avon Properties"). WITNESSETH: WHEREAS, as evidenced by those certain deeds from Avon Properties to Piedmont Neigh- borhoods recorded in Clerk's Office of the Circuit Court of the County of Albemarle, Virginia (the "Clerk's Office"), on November 13, 2017, in Deed Book 4983, page 83, and on January 5, 2018, in Deed Book 5002, page 68, respectively (the "Piedmont Neighborhoods Deeds"), Piedmont Neigh- borhoods is the fee simple owner of Lots 10 through 18, inclusive, in Phase 2 of Avinity Subdivision, all as more particularly shown on that certain subdivision plat entitled "SUBDIVISION PLAT AV- INITY, PHASE II & PHASE III, LOTS 1-26 & 96-100 LOCATED ON AVON STREET EX- TENDED SCOTTSVILLE MAGISTERIAL DISTRICT, ALBEMARLE COUNTY, VIRGINIA", prepared by Roudabush, Gale & Associates, Inc., Engineers Surveyors and Land Planners ("Roudabush"), dated June 3, 2015, and recorded in the Clerk's Office on April 13, 2016, in Deed Book 4745, page 137 (the"Plat"), and as more fully described in the Piedmont Neighborhoods Deed (collectively, the"Piedmont Neighborhoods Property"). WHEREAS,Avon Properties is the fee simple owner of certain"Open Space"adjacent to Lot 10, all as more fully shown on the Plat (the "Avon Properties Open Space", and, together with the Piedmont Property, the"Avinity Property"). WHEREAS, the parties have caused the Avinity Property to be further surveyed and platted by Roudabush as evidenced by that certain survey entitled "PLAT SHOWING BOUNDARY LINE ADJUSTMENT TAX MAP 91A PARCELS 10-18 AVINITY PHASE II SCOTTSVILLE MAGIS- TERIAL DISTRICT ALBEMARLE COUNTY, VIRGINIA" dated February 2, 2018, revised April 26, 2018 (the "Boundary Line Adjustment Plat"), which Boundary Line Adjustment Plat is attached hereto for recording as Exhibit A and incorporated herein by this reference; and WHEREAS,the parties hereto desire to reconfigure the boundary lines of the Avinity Property as hereinafter set forth. NOW, THEREFORE, as a gift, and for no other consideration, Avon Properties hereby GRANTS, BARGAINS, SELLS, and CONVEYS with SPECIAL WARRANTY OF TITLE unto Piedmont Neighborhoods all that certain lot or parcel of land situated in the County of Albemarle, Virginia, shown and described as "Parcel `A' (consisting of 0. O 3 acre), as shown on the Boundary Line Adjustment Plat, formerly a portion of the Avon Properties Open Space. Additionally, and in exchange for the conveyance in the preceding paragraph, as a gift, and for no other consideration, Piedmont Neighborhoods hereby GRANTS, BARGAINS, SELLS, and CONVEYS with SPECIAL WARRANTY OF TITLE unto Avon Properties all that certain lot or parcel of land situated in the County of Albemarle, Virginia, shown and described as "New Open Space"(consisting of 0.019 acre),as shown on the Boundary Line Adjustment Plat,formerly a portion of Lots 10 through, 13, inclusive. Accordingly,the courses,distances and adjustments shown on the Boundary Line Adjustment Plat as to all of the Avinity Property are hereby confirmed and submitted for record in the Clerk's Office by each of Piedmont Neighborhoods and Avon Properties. The prior boundary lines as shown as existing boundary lines being vacated on the Boundary Line Adjustment Plat with the designation "TBA", are hereby VACATED. Piedmont Neighborhoods and Avon Properties agree, for themselves, their successors and assigns that, as a result of the preceding conveyances, and the recordation of this Deed of Gift and Boundary Line Adjustment Certificate along with the Boundary Line Adjustment Plat, and the ad- justments made thereon, the newly revised Piedmont Neighborhoods Property is as follows: revised Lot 10, containing 2,093 square feet; revised Lot 11, containing 1,595 square feet; revised Lot 12, containing 1,649 square feet;revised Lot 13, containing 2,248 square feet;revised Lot 14, containing 2,705 square feet; revised Lot 15, containing 2,021 square feet; revised Lot 16, containing 1,894 square feet; revised Lot 17, containing 1769; and revised Lot 18, containing 2,369 square feet. With respect to the Avon Properties Property, Avon Properties hereby certifies that the area of the Avon Properties Open Space is hereby adjusted as shown on the Boundary Line Adjustment Plat. These conveyances are made subject to any easements, reservations, restrictions and condi- tions contained in duly recorded deeds, plats, and other instruments constituting constructive notice in the chain of title to the property herein conveyed which have not expired by a time limitation contained therein or have not otherwise become ineffective.
