RE: Building Permit Application — Yancey Mill Sorter -Stacker Building
Dear Margaret:
R. A. Yancey Lumber Corporation (the "Company") is the owner of two parcels of land identified
as tax map parcels 55-112 and 55-111 B (the "Property"), Members of the Yancey family have
operated a saw mill and lumber yard business on the Property continuously since 1949 (the "Mill").
The Mill employs approximately 70 workers. The Property contains 35.74 acres and is zoned
Heavy Industry.
The Mill has expanded over time with the growth of its customer base. It periodically invests in
the business with the addition or replacement of large pieces of equipment with more modern,
safe and efficient equipment to remain competitive within its industry, to better serve its
customers, and to implement safer and more productive manufacturing practices.
Over the years, changes to the County's zoning regulations adopted since the Mill began
operating have imposed setback requirements that now affect most of the Property. The impact
of these zoning regulations serves to hamstring just about any change to the Mill. Compliance
with all the currently applicable regulations without relief in the form of special exceptions will
arguably leave the Company without room to operate on a sustainable basis — much less to
operate safely.
The Company was unaware of these regulations when it invested in a new major, multi -million -
dollar piece of equipment in the summer of 2017 known as a "Sorter -Stacker." As part of the
Mill's core operation, freshly cut lumber of various sizes (2x4s, 4x4s, 6x6s, 2x1 Os, among
others) emerges from the Mill in a continuous stream at a relatively rapid pace. The sorter
component of the new Sorter -Stacker equipment sorts lumber from the continuous stream into
various sizes using bins based on the size of the lumber. The stacker component then stacks,
separates, and bands lumber of the same type for drying. The Mill is one of the last of its size
that does not have a Sorter -Stacker, as the industry has become increasingly mechanized,
making it nearly impossible for the Mill to remain competitive within its industry without it.
Management of the Mill became aware of setback requirements upon the completion of a
current survey by Timmons Group in December, 2017. Following the advice of counsel,
Management has stopped assembly of the Sorter -Stacker and is seeking, through the special

exception application process, to abide by applicable rules and regulations, while also assuring
the survival of the Mill, along with the jobs and tax revenue associated with its continued
successful operation.
Therefore, on January 26, 2018, we submitted an application requesting special exceptions to
Sections 4.20(b) and 5.1.15 of the County Zoning Ordinance, proposing to modify several
setback regulations. As part of that application we have also been working with the County
building official and FPW Architects on a building permit application for the Sorter -Stacker
building. Given the Property's location along the Route 250 Entrance Corridor, this application
is for a building permit. Bill Fritz is leading the staff review of the Special Exception application,
and has determined that a full site plan is not required for the proposed building.
The metal panels of the Sorter -Stacker building, including the roof, consist of a "Light Stone"
color by Arco of Norcross, Georgia, which is a light tan and the trim of the Sorter -Stacker
building will be "Koko Brown" color, also from Arco of Norcross, Georgia, and which is a medium
brown. These colors minimize the appearance of soiling in a dusty environment and are
consistent with the colors of other the existing structures on the Property. The proposed
landscaping will further screen the Sorter -Stacker building, which is 34 feet in height at the
tallest point. The Sorter -Stacker building rendering on Sheet A101 of the Plans shows the
accurate coloring and height of the building. In addition, enclosed with this application are
samples of both the metal paneling and trim. No lighting is proposed on the building.
This application proposes new plantings to be installed in front of an existing fence that aligns
with the existing office building, noted on Sheet A101 of the enclosed plans prepared by FPW
Architects, dated August 6, 2018 (the "Plans"). As evidenced by the photo labeled "Proposed
Sorter -Stacker and Landscaping — View from Rt. 250," the proposed new plantings will screen
the majority of the Sorter -Stacker building from Route 250. The new plantings will be located in
the existing gravel area, necessitating excavation and installation of a large planting soil bed.
The existing gravel area, which has been compacted by many years of truck traffic, comprises
much of the property in front of the Sorter -Stacker building and therefore makes further
landscaping difficult and costly. In addition, the truck traffic requires that large areas of the
Property be available for turning radii and sight distance so that trucks can safely navigate the
site, further limiting the available planting areas. We have proposed landscaping wherever we
have determined it is possible, given the above limitations.
As evidenced by the photos labeled "Commercial Structures along Route 250 Travel Corridor"
on Sheet A002 of the Plans, the surrounding area consists of several commercial
establishments located close to the Entrance Corridor right-of-way without typical screening
seen on other properties within Entrance Corridors in the County. Many of these
establishments predate the design standards of the Entrance Corridor. Examples include the
Citgo and Exxon gas stations, the Foxtail Cottage Floral building, the Warren James Auto Body
buildings, and the original Froehling & Robertson building. None of these buildings are
screened from the Entrance Corridor, and many are located very close to the right-of-way. We
are proposing landscaping that will screen most of the Sorter -Stacker for almost the entirety of
applicable stretch of the Entrance Corridor. In addition, the Property slopes down and away
from the right-of-way, further concealing the building and equipment from the road. Therefore,

the proposed landscaping improves the current conditions of the Mill, making the proposed
building better screened than the surrounding existing buildings are from the Entrance Corridor.
Notwithstanding the above noted compatibility of the Mill with the surrounding area, negotiations
with the Virginia Department of Transportation (VODT) are ongoing with regards to acquiring
portions of the right-of-way located in front of the Property so that additional landscaping can be
installed along the Property's frontage, screening more of the Mill's operations. It is unclear
whether the Company will be able to acquire such additional property within the right-of-way,
and without such acquisition, there is no additional space for the installation of landscaping
above what is currently proposed.

OF
ANNUAL SHAREHOLDERS MEETING
APRIL 21, 2017 / MAY 19, 2017
The annual meeting of shareholders of R. A. Yancey Lumber Corporation (the
"Company") scheduled pursuant to notice duly given, a copy of which is attached as Exhibit A,
for 2:00 p.m. Friday, April 21, 2017, at the offices of Williams Mullen, 321 East Main Street,
Suite 400, Charlottesville, Virginia 22902 was brought to order by the President and immediately
adjourned until May 19, 2017 on motion from E. Daniel B. "Dan" Yancey and seconded by
Richard A. "Dick" Yancey, Jr. The motion was unanimously approved by Dan Yancey, Dick
Yancey and Sarah May, being all the shareholders present and holders of a majority of the
shares.
Counsel for the Company was instructed to notify the remaining shareholders of such
adjournment and rescheduling. A copy of that notice is attached as Exhibit B.
The meeting was resumed at 2:00 p.m. on May 19, 2017. Present were Richard A.
"Dick" Yancey, Jr., E. Daniel B. "Dan" Yancey, Elizabeth D. "Betsy" Yancey, and Sarah Y. May,
shareholders of the Company, and W. Patrick Yancey, Jr., proxy for William P. "Bill" May and
Elizabeth Thomas Yancey, proxy for Jane T. Yancey. In addition, David L. Dallas, Jr., counsel
for the Company, attended the meeting, along with his colleague, Caroline W. Stanton, and his
assistant, Delores L. Brock, who served as recording secretary. A quorum was met with all
shareholders present in person or by proxy.
The shareholders then reviewed Sarah's suggested changes to the draft minutes of the
April 22, 2016 special shareholders meeting. Brief discussion ensued, and after an additional
suggested change, motion was made by Sarah and seconded by Dan to approve the meeting
minutes as modified. The minutes were approved by a majority vote of the shareholders with
Dick and Jane opposing.
Next, Sarah reported on the Company's financial status by company fiscal years 2016
and 2015. She observed an increase in Company sales and income, and in many areas, a
decrease in expenses. Discussion then ensued regarding the increase in overrun. Patrick
provided a detailed explanation of overrun.
Sarah then presented an overview of projects for 2017, which included an improved
drying process in the kiln area and a new sorter/stacker that will decrease labor costs. Dick is
overseeing the excavation of the sorter/stacker site. Computer software has been upgraded for
the edger. Discussion ensued regarding the recent purchase of a chipper, on which the
Company owes a balance of$48,850. Repairs will be made to a debarker in June. Collectors
for the boiler will be installed. Dick cautioned about dropping down the water switches on the
boiler.

The shareholders then proceeded to vote for directors. Dan made a motion to keep the
same slate of directors, constituting Dick, Sarah and himself. The shareholders unanimously
approved by voting "aye".
Next, the shareholders voted for officers of the Company. Dan made a motion to keep
the same slate of officers, seconded by Sarah, which included himself as President, Sarah as
Secretary/Treasurer and Patrick as Vice President. Dick and Jane abstained. The motion
carried by a majority of the shareholders voting in favor of the slate.
Upon motion from Sarah, the meeting adjourned at 3:20 p.m.

Sorter-Stacker and Landscaping —View from Rt. 250," the proposed new plantings will screen
the majority of the Sorter-Stacker building from Route 250. The new plantings will be located in
the existing gravel area, necessitating excavation and installation of a large planting soil bed.
The existing gravel area, which has been compacted by many years of truck traffic, comprises
much of the property in front of the Sorter-Stacker building and therefore makes further
landscaping difficult and costly. In addition, the truck traffic requires that large areas of the
Property be available for turning radii and sight distance so that trucks can safely navigate the
site, further limiting the available planting areas. We have proposed landscaping wherever we
have determined it is possible, given the above limitations.
As evidenced by the photos labeled "Commercial Structures along Route 250 Travel Corridor"
on Sheet A002 of the Plans, the surrounding area consists of several commercial
establishments located close to the Entrance Corridor right-of-way without typical screening
seen on other properties within Entrance Corridors in the County. Many of these
establishments predate the design standards of the Entrance Corridor. Examples include the
Citgo and Exxon gas stations, the Foxtail Cottage Floral building, the Warren James Auto Body
buildings, and the original Froehling & Robertson building. None of these buildings are
screened from the Entrance Corridor, and many are located very close to the right-of-way. We
are proposing landscaping that will screen most of the Sorter-Stacker for almost the entirety of
applicable stretch of the Entrance Corridor. In addition, the Property slopes down and away
from the right-of-way, further concealing the building and equipment from the road. Therefore,

the proposed landscaping improves the current conditions of the Mill, making the proposed
building better screened than the surrounding existing buildings are from the Entrance Corridor.
Notwithstanding the above noted compatibility of the Mill with the surrounding area, negotiations
with the Virginia Department of Transportation (VODT) are ongoing with regards to acquiring
portions of the right-of-way located in front of the Property so that additional landscaping can be
installed along the Property's frontage, screening more of the Mill's operations. It is unclear
whether the Company will be able to acquire such additional property within the right-of-way,
and without such acquisition, there is no additional space for the installation of landscaping
above what is currently proposed.
